Terms of Service

By creating an account, uploading content, or otherwise using the IV Elysium platform, you agree to these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

IV Elysium reserves the right to modify these terms at any time. We will notify registered users of material changes via email or through the platform. Your continued use of the platform after such modifications constitutes your acceptance of the updated terms.

To use enarumusic, you must be at least 13 years of age. If you are under 18, you must have permission from a parent or legal guardian where required. During registration, you may be required to confirm your age category. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

If you are under 18 years of age, you represent and warrant that you have obtained explicit permission from a parent or legal guardian to create an account and use our services. Parents and guardians are legally responsible for all activities of minors using the platform.

You agree to provide accurate, current, and complete information during registration and to keep it updated. Providing false information, including misrepresenting your age, will result in immediate account termination and may expose you to legal liability.

Each person or entity may only create one account. Multiple accounts by the same individual or entity are strictly prohibited and may result in suspension of all accounts without prior notice.

You retain all ownership rights to the music, artwork, and other content you upload to IV Elysium. By uploading content, you grant IV Elysium a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display your content solely for the purpose of providing our services and promoting your music.

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for any content you upload, including musical compositions, sound recordings, artwork, and metadata. You are solely responsible for ensuring that your content does not infringe upon the intellectual property rights of any third party. IV Elysium assumes no responsibility for user-uploaded content and is not liable for any third-party claims arising from your content.

IV Elysium reserves the right to remove any content that violates these terms, infringes on third-party rights, or is otherwise objectionable at our sole discretion.

enarumusic provides a dashboard for account management, release records, metadata, and related administrative information. The platform does not automatically distribute or deliver content to streaming platforms or digital stores.

Any external release, delivery, or takedown activity is handled manually and separately from this dashboard. enarumusic does not promise, control, or guarantee the timing or acceptance of any external platform.

Because enarumusic does not automatically distribute content, this dashboard does not create or promise any streaming-platform release or takedown timeline. You remain responsible for the accuracy and legality of information you submit.

The dashboard may display administrative information supplied to or maintained by the parties responsible for your business relationship. enarumusic does not collect streaming royalties or guarantee royalty reporting through the dashboard.

The dashboard does not process payouts or store payout destinations. Any separate payment arrangement, if applicable, is governed by the agreement and process communicated directly by the relevant party.

You are solely responsible for all taxes associated with royalty payments in your country of residence. IV Elysium does not provide tax advice and recommends consulting with a qualified tax professional. IV Elysium may be required to collect tax documentation where applicable under UK tax law or the tax laws of the relevant jurisdiction.

No commission, royalty split, or payout percentage is promised by the dashboard. Do not rely on information displayed in the dashboard as a payment statement unless separately confirmed in writing by the relevant contracting party.

In cases of fraud, abuse, security violations, or other breaches of these Terms, IV Elysium Ltd may suspend or terminate your account in accordance with these Terms and applicable law.

When using IV Elysium, you agree not to:

• Upload content that you do not have the legal right to distribute
• Engage in or promote artificial streaming, playlist manipulation, or other fraudulent activities
• Upload content containing malware, viruses, or harmful code
• Impersonate another person or entity, or falsely claim affiliation with any organization
• Use the platform to distribute hate speech, harassment, threats, or content that violates applicable law
• Attempt to gain unauthorized access to other users' accounts or our systems
• Scrape, data mine, or use automated tools to extract data from the platform without permission
• Circumvent or manipulate our payment systems, royalty reporting, or any other platform functionality

Violation of these prohibitions may result in immediate account suspension or termination and potential civil or criminal legal action where applicable.

IV Elysium strives to maintain high availability, but we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage arising from service interruptions.

We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time, including features, functionality, or integration with third-party services, with or without notice.

The IV Elysium platform, including its design, functionality, code, branding, and documentation, is protected by UK and international copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved by IV Elysium.

You may not copy, modify, distribute, sell, or lease any part of our services or software, nor may you reverse engineer or attempt to extract the source code of our platform.

Trademark Protection: The IV Elysium name, logo, branding elements, and all related trademarks are the exclusive property of IV Elysium. You are strictly prohibited from using, copying, imitating, or creating any company, service, product, or brand that uses the IV Elysium name, logo, or any confusingly similar marks. Unauthorized use constitutes trademark infringement under applicable UK and international trademark laws and may result in:

• Immediate cease and desist demands
• Injunctive relief
• Claims for actual and statutory damages
• Recovery of legal fees

The underlying platform technology and enarumusic branding are owned or lawfully used by IV Elysium Ltd or its licensors. No rights in the underlying technology are granted to users except the limited right to use the dashboard under these Terms.

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF ENGLAND AND WALES IV ELYSIUM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IV ELYSIUM DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE PLATFORM ENTIRELY AT YOUR OWN RISK.

This disclaimer does not exclude or limit liability that cannot lawfully be excluded or limited.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IV ELYSIUM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

Our aggregate liability for any claims arising from your use of the platform shall not exceed the total amount you paid to IV Elysium in the twelve months preceding the claim, or €100.00 EUR, whichever is greater. Liability for intentional misconduct or gross negligence remains unaffected to the extent required by applicable law.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

These limitations apply to the maximum extent permitted under applicable law, including the Consumer Rights Act 2015 and other mandatory UK consumer-protection rules. Mandatory statutory rights are not affected.

The underlying software infrastructure is provided under license by enarumusic as a technology provider. enarumusic shall have no liability whatsoever to users of this platform. enarumusic is not a party to any transaction, agreement, or dispute between IV Elysium Ltd and its users.

You agree to indemnify, defend, and hold harmless IV Elysium Ltd, the enarumusic technology framework, and their respective affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the platform; (b) your content; (c) your violation of these terms; (d) your violation of any applicable law; or (e) your infringement of any third-party rights.

You may terminate your account at any time by contacting info@ivelysium.com. Upon termination, you may lose access to the platform and should retain any information you need before closing your account. Termination does not remove obligations that accrued before termination.

IV Elysium may suspend or terminate your account at any time, with or without notice, for violation of these terms, fraudulent activity, or for any other reason at our sole discretion. We will make reasonable efforts to provide notice before termination except where immediate action is required.

Upon termination, your dashboard access may be disabled and your account records may be deleted or retained as described in the Privacy Policy. This dashboard does not automatically remove content from external services.

These Terms of Service are governed by and construed in accordance with the laws of England and Wales, excluding its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any disputes arising from these terms or your use of the platform shall be resolved exclusively in the courts of England and Wales.

IV Elysium is not obligated to participate in an alternative dispute resolution process, but we will make every reasonable effort to resolve disputes amicably.

Before initiating any legal proceedings, you agree to first attempt to resolve disputes through good faith negotiations by contacting info@ivelysium.com.

Entire Agreement: These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and IV Elysium regarding use of the platform and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Failure by IV Elysium to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. IV Elysium may assign its rights freely.
